1. Services

Elfoul provides custom digital engineering services, including high-performance web development, mobile applications (iOS and Android), AI automation workflows, interactive 3D web applications, and technical consulting.

Deliverables, project milestones, specifications, and timelines are detailed in individual written Proposals, Quotes, or Statements of Work ("SOW").

2. Quotes & Proposals

Written proposals and price quotes issued by Elfoul remain valid for [30 days] from the date of issuance. Beyond [30 days], quotes are subject to review to account for scheduling and technical requirements.

3. Project Process & Client Responsibilities

Successful delivery depends on timely collaboration. The client agrees to:

• Provide required assets, branding materials, technical copy, and third-party credentials promptly.
• Designate a primary decision-maker authorized to provide feedback and project approvals.
• Provide milestone reviews and feedback within [5 business days] of delivery. Feedback delays will extend subsequent milestone dates accordingly.

4. Payments & Invoicing

Unless stated otherwise in an approved Statement of Work, payment structure is as follows:

• Deposit: A non-refundable deposit of [50%] is required prior to project commencement and engineering resource scheduling.
• Milestones: [25%] upon completion of the functional staging deliverable, and the final [25%] balance prior to live deployment and final source code handover.
• Payment Terms: Invoices are payable within [14 days] of issue. Overdue invoices may incur a late payment fee of [1.5%] per month and may pause active development.

5. Revisions & Acceptance

We are committed to delivering exceptional craftsmanship and technical quality:

• Each milestone includes [2 rounds] of revisions within the agreed technical specifications.
• The client has [7 business days] upon deliverable handover to inspect the work and submit revision requests in writing. In the absence of written feedback, the deliverable is deemed accepted.
• Additional requests outside the original project scope will be quoted separately under a formal Change Order.

6. Intellectual Property & Ownership

Rights, ownership, and portfolio showcases are governed by the following:

• Full Ownership Transfer: Upon 100% full and final payment of all project fees, all intellectual property rights and title to custom deliverables, design files, and bespoke code are transferred to the client.
• Pre-existing Code & Open Source: Pre-existing libraries, general tools, and open-source packages remain subject to their respective open-source licenses.
• Portfolio Rights: Unless explicitly restricted by an executed Non-Disclosure Agreement (NDA), Elfoul retains the right to display the completed project, design mockups, and case studies in its online portfolio and marketing.

7. Third-Party Tools & Licenses

Projects may integrate third-party APIs, libraries, hosting providers, or cloud services (e.g. cloud hosting, domain registrars, payment gateways, and AI model APIs). The client is responsible for maintaining all relevant third-party accounts, subscriptions, and associated fees.

8. Confidentiality

Both parties agree to treat all business records, technical source code, trade secrets, and non-public data disclosed during the collaboration as strictly confidential, maintaining this obligation even after project conclusion.

9. Warranties & Limitation of Liability

We stand by our code with clear post-launch support:

• Warranty Period: Elfoul provides a complimentary [30-day] bug-fix warranty following launch to resolve any functional bugs deviating from agreed specifications.
• Limitation of Liability: Under no circumstances shall Elfoul be liable for indirect, incidental, or consequential damages (including lost revenue or business interruption). Our total aggregate liability is strictly limited to the total fees paid by the client under the applicable Statement of Work.

10. Termination & Cancellation

Either party may terminate an engagement with [14 days] written notice. In the event of early termination, the client agrees to pay for all work completed and expenses incurred up to the date of termination.

11. Website Use

All visual content, graphics, and code on https://elfollagency.site are the exclusive property of Elfoul. You agree not to scrape, reverse-engineer, exploit, or launch security tests against this website without written consent.

12. Governing Law

These Terms and any related agreements shall be governed by and construed in accordance with the laws of [Algeria / to be defined]. Any legal dispute shall first be addressed through amicable negotiation, and failing that, submitted to competent courts in [Algeria / to be defined].

13. Changes to Terms
